1. Acceptance of Terms
By registering for or using the NGCareerPro platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms form a legally binding agreement between you (or the institution you represent) and R Console Nig Ltd ("NGCareerPro", "we", "us", or "our").
2. Services Provided
NGCareerPro provides an AI-powered career guidance and management platform for higher education institutions in Nigeria. Services include:
- AI Career Advisor (powered by Anthropic Claude)
- Personality and interest assessment tools
- Subject requirements and admission guidance
- Graduate outcome tracking and reporting
- Career roadmap generation
- At-risk student identification
- Institutional billing and subscription management
3. Eligibility
The Platform is available to Nigerian higher education institutions (universities, polytechnics, colleges of education, and monotechnics) and their enrolled students and staff. You must be at least 16 years of age to create a student account. By using the Platform, you represent that you meet these requirements.
4. Institutional Accounts
4.1 Registration
Institutions must complete the online registration form and provide accurate, current information. The person completing registration warrants that they are authorised to bind the institution to these Terms.
4.2 Payment
Subscriptions are billed annually via bank transfer to UBA PLC (Account: R Console Nig Ltd, Acc No: 1028090392). Access is activated upon payment confirmation. Prices are quoted in Nigerian Naira (NGN) and include 7.5% VAT.
4.3 Renewal
Subscriptions do not auto-renew. Institutions will receive a renewal invoice 30 days before expiry. Failure to renew will result in suspension of access after the subscription expiry date.
4.4 Refunds
Due to the digital nature of the Platform, payments are non-refundable once the institution has been activated and student accounts created. In the event of a technical failure on our part preventing access for more than 7 consecutive days, a pro-rated credit may be applied at our discretion.
5. Acceptable Use
You agree not to:
- Share login credentials or allow unauthorised access to your account
- Use the Platform for any unlawful purpose or in violation of Nigerian law
- Scrape, copy, or redistribute Platform content without permission
- Attempt to reverse-engineer, decompile, or exploit the Platform's code or AI systems
- Upload malicious software, spam, or harmful content
- Misrepresent student identity or institutional affiliation
- Use the AI Advisor to generate content for academic fraud
6. AI Services Disclaimer
The AI Career Advisor provides general career guidance based on available data. It does not constitute professional career counselling, legal advice, or a guarantee of employment or admission. Career outcomes depend on individual effort, market conditions, and factors outside our control. You should use AI advice alongside qualified human counsellors.
7. Intellectual Property
All Platform software, AI models, content, branding, and design are owned by NGCareerPro and protected by Nigerian and international intellectual property law. Your institution retains ownership of student data you input. We retain ownership of anonymised, aggregated insights derived from platform usage.
8. Data and Privacy
Processing of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, the institution confirms it has obtained appropriate consent from students to process their data on the Platform.
9. Service Availability
We aim for 99.5% uptime. Scheduled maintenance will be notified at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure (cloud providers, internet connectivity) or force majeure events.
10. Limitation of Liability
To the maximum extent permitted by Nigerian law, NGCareerPro's total liability for any claim arising from use of the Platform shall not exceed the amount paid by the institution in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold NGCareerPro harmless from any claims, damages, or legal fees arising from your misuse of the Platform, breach of these Terms, or violation of any third-party rights.
12. Termination
We may suspend or terminate your account if you breach these Terms, fail to pay, or engage in activity harmful to the Platform or other users. You may request account deletion at any time by contacting [email protected]. Termination does not relieve you of payment obligations.
13. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the Federal High Court, Abuja, Nigeria, or through arbitration under the Lagos Court of Arbitration Rules at our election.
14. Changes to Terms
We may update these Terms. Material changes will be communicated via email to institutional administrators with 30 days notice. Continued use after the effective date constitutes acceptance.
